Meetsales – Terms of Service

1. GENERAL PROVISIONS

1.1   These Terms of Service define the rules for using the website available at https://meetsales.io (Website). The operator of the Website is Meetsales sp. z o.o. with its registered office in Wrocław, at Świdnicka 22 first floor, 50-068 Wrocław. You can contact us by email: support@meetsales.io.

1.2   Services within the Website are made available in the form of SaaS (software as a service) and enable the Customer to conduct video calls with its current or potential contractors, present products and create and send commercial offers, sell goods or services and obtain consents to send commercial or marketing information.

1.3   By using the Website, each time you accept the provisions of these Terms of Service.

2. RULES OF USING THE WEBSITE

2.1   The Customer orders access to the Services by sending the electronic form available on the Website. The service is made available to the Client against payment in advance in each monthly billing period or other period if the Customer makes such a choice among the options offered by Meetsales (Billing Period).

2.2   Meetsales is constantly developing the Website, therefore it may add, change, delete and adapt individual functionalities of the Website, as well as the method of use, subject and scope of the Website.

2.3   The use of the Website is intended solely for business use. The Customer may grant access to the Website to end users by logging in via the web application using a login (or other options provided by Meetsales). Access must be permanently password protected. The person using the Website may not assign, transfer, distribute, resell, lease or otherwise provide access to the Website to third parties or use the Website with another person or for the benefit of any third party (other than persons to whom access to the Website has been granted by Customer).

2.4   The use of the Website is possible only for purposes consistent with the law and these Terms of Service. The person using the Website is solely responsible for (i) proper protection of their login data, (ii) actions and all content, expressions and entries entered on the Website.

2.5   The Customer or a person acting on its behalf may not use the Website to send or disseminate materials containing misleading offers of goods or services or advertising or promotional materials containing false or misleading claims or statements.

2.6   Each person using the Website is obliged to: (i) use the Website in a manner consistent with the law and the provisions of the Terms of Service, in accordance with good practice and with respect for personal rights, copyrights and intellectual property of third parties, (ii) not to provide or transmit unlawful content, (iii) using the Website in a way that does not interfere with its functioning, (iv) entering data on the Website in accordance with the facts.

2.7   The person using the Website acknowledges that Meetsales does not monitor or exercise any editorial control over the content posted on the Website.

2.8   The person using the Website acknowledges that the use of electronic services may be associated with IT risk, and protection against threats related to the use of electronic services may be ensured by, inter alia, anti-virus program, regular comprehensive system scans with anti-virus program, data transmission encryption, use of the system and applications from legal and known sources.

2.9   Meetsales is not a party to contracts for the sale of goods or services concluded between the Customer and its contractor, and does not provide any guarantees and is not responsible for the conclusion or performance of such contracts.

2.10   The Customer's contractor may conclude an agreement with the Customer, provided that it accepts these Terms of Service and submits other statements indicated on the Website, regarding the sale of goods or services offered by the Customer, confirming the purchase using the "buy and pay" button or another of a similar meaning. Detailed rules for confirming the purchase may be included on the Website.

2.11   Confirmation of the conclusion of the contract between the Customer and its contractor is sent automatically via e-mail (or optionally via other means of electronic communication) and is for information purposes only.

2.12   The use of the Website is provided on the "as is" basis. Meetsales makes no warranties of any kind, express or implied, and in particular, no warranties of any kind with regard to property, accuracy, uninterrupted use, merchantability and accuracy. The Meetsales warranty for defects is excluded to the extent permitted by law.

3. PAYMENTS

3.1   The current fees for using the Services are listed on the Website (Fees). Fees may be changed no more than once every 3 months for an individual customer.

3.2   Meetsales will issue and send the Customer an electronic invoice in PDF format via e-mail for all fees due in each Billing Period. The service will be available to the Customer in each Billing Period after paying the fee in advance.

4. LIMITED ACCESS TO THE SERVICE

4.1   If the provision of the Service involves the risk of causing significant damage to Meetsales or the legitimate interests of third parties, Meetsales may block or limit access to the Service. Consequently, Meetsales cannot take any further action than is justified by the circumstances. Website users will be immediately informed of any restrictions on access to the Service. Meetsales may carry out scheduled activities affecting the availability of the Service if required for technical, maintenance, operational or security reasons. Meetsales will take such action promptly and in a manner that minimizes disruption. Meetsales undertakes to provide notification in this regard within a reasonable period of time in advance of such action.

5. SUPPORT

5.1   Support is provided through the ticket system via e-mail support@meetsales.io. The response time is normally the next business day (excluding public holidays) from 8:00 am to 4:00 pm (CET), although this is only guaranteed on a "dedicated" plan as offered by Meetsales on the site (if available ). The support provided under these Terms of Service does not guarantee the time to repair the error. The support does not include the customization of the Services - they are agreed individually by Meetsales and the Customer on the basis of a separate agreement, for an additional fee.

6. TERM AND TERMINATION

6.1   The contract between Meetsales and the Customer is concluded for an indefinite period and is valid until terminated by Meetsales or the Customer. The contract may be terminated by both parties with a 7-day notice period with effect at the end of the Billing Period (for the avoidance of doubt, if the Customer has paid for a given settlement period, be it 1 month or 12 months, the Customer cannot request a refund of the fees paid). The service is extended for the next billing period, unless the Customer informs otherwise.

6.2   Meetsales may terminate the Services with immediate effect without notice in the event of (i) breach by the Customer of these Terms and Conditions; (ii) Customer posting any content that violates the law or is otherwise inappropriate; (iii) Customer fails to make final payment of outstanding bills within 7 (seven) days after due payment date. In the event of termination from the abovementioned reasons, Meetsales will not be obliged to refund any amounts previously paid by the Client. In the event of the Customer's delay in paying the bills due, Meetsales may suspend the provision of the Services without notice until the outstanding fees have been paid. Any such suspension shall in no way release the Customer from paying the fees.

7. INTELLECTUAL PROPERTY

7.1   These Terms of Service do not transfer from Meetsales to the Customer or to any other person or entity any intellectual property of Meetsales or third parties. The Meetsales logo (including services) and all other trademarks, service marks, graphics and logos used in connection with the Services are trademarks or registered trademarks of Meetsales or its licensors. Other trademarks, service marks, graphics and logos used in connection with the site may be trademarks of other third parties. The use of the Services does not give you any right or license to reproduce or otherwise use any Meetsales or third party trademarks.

7.2   As part of its business cooperation, Meetsales may use its own trademarks, service marks, graphics and logos of the Client as links on its official website, presentations, lectures, conferences or other means of advertising and / or promoting its business activities. Meetsales may, as references, list the Customer and its activities in the course of negotiations, offers and / or similar types of business interactions with third parties, as well as publish case studies related to the cooperation between Meetsales and the Customer, in particular on the Meetsales website.

7.3   Meetsales shall in no event be liable for lost profits by the Customer or a third party. Meetsales is not responsible for the content provided or published or imported / exported on the Website.

8. TRIAL VERSION

8.1   In the event that Meetsales provides such option at the Website, the Customer may once use the trial version of the Website for the period indicated by Meetsales. In such case, the trial version will be available free of charge, however Meetsales may decide that certain functionalities of the Website or services be limited.

9. FINAL PROVISIONS

9.1   In the event that any provisions of these Terms of Service are found by a competent authority to be invalid, unenforceable or unlawful, the remaining provisions hereof shall remain in force. Meetsales may amend these Terms of Service from time to time, and the one published on the Website is valid and binding.

9.2  These Terms of Service are governed by German law.

9.3   An integral part of these Terms of Service is the Privacy Policy available at https://meetsales.com/privacy-policy, which sets out the terms for the processing of personal data on the Website.

9.4   The current version of these Terms of Service has been adopted and has been in force from 13 June 2022.
